TERMS AND CONDITIONS OF SALE

GENERAL: The quotation and proposal including any technical data contained therein, is furnished by Rojone Pty Limited (hereinafter called Seller) solely for the exclusive use of the Purchaser and on the condition that the information contained therein will not be distributed to any other party by the Purchaser.  Furthermore, the Seller hereby reserves the right not to disclose to the Purchaser any technical data developed exclusively at the Seller’s expense, either in conjunction with the proposed work or with any other prior contract.

PRICES: All prices are F.O.B. Ingleburn NSW Sydney Australia, and are subject to change without notice at any time prior to formal acknowledgement of order by seller.  These prices supersede all previous prices.  Prices do not include taxes, freight, or insurance, unless otherwise stated on our quotations.

TAXES: Any tax, duty, or other charges how or hereafter levied upon the sale, use or shipment of material and equipment ordered or sold is not included in Seller’s price and will be charged to and paid for by the Purchaser.

DELIVERY: Shipment date is estimated and is subject to change due to causes not under the Seller’s control, including but not limited to strikes and other labour difficulties, material shortages, fires, accidents, orders or requests of government authorities and delays of subcontractors.  Seller shall have no liability for loss or damage resulting from delay in a scheduled delivery.  In no circumstance shall the Seller have any liability for loss of use or for any incidental or consequential damages due to change of delivery schedule.

ACCEPTANCE: Acceptance of this offer is expressly limited to the exact terms contained herein.  If the Purchaser’s order form is used for acceptance of this order, it is expressly understood and agreed that the terms and conditions of such order form shall not apply unless agreed to by the seller in writing.

CANCELLATION/TERMATION: Purchase order may be terminated or cancelled by Purchaser only with the express consent of Seller.  Purchaser shall pay Seller’s the actual costs and expenses for work in process and materials committed and a reasonable profit thereon.  Seller may cancel purchase order without penalty.  If Purchaser fails to comply with terms and conditions of order or becomes bankrupt or insolvent, Seller assumes no responsibility for cost of reprocurement by Purchaser.

WARRANTY: Seller warrants each of its products to be free from defects in materials and workmanship.  The limit of liability under this warranty is to repair or replace any products or parts thereof which shall within one year after delivery to the original user be returned, shipping costs prepaid and insured to Seller, and which shall have been found to be defective upon examination by Seller.  This warranty shall be limited to the repair or replacement of Seller’s products and shall not extend to any incidental or consequential damages there from.  Disassembly of any product by anyone other than and authorised representative of the Seller voids the obligations to repair or replace any products so disassembled.  In addition, Seller assumes no responsibility for goods returned without Seller’s written authorisation.

LIMITATION OF LIABILITY: In no event shall Seller or its suppliers be liable by the Purchaser or any third party in contract, lot (including negligence), warranty or otherwise for any special, indirect, incidental, or consequential damages.  Seller’s liability will be limited to repair, replacement, or issuance of a credit for the purchase price at the Seller’s option.  Purchaser agrees to indemnify Seller for all costs in connection with such claims.  The remedies of Purchaser set forth in this order shall be exclusive.

RISK OF LOSS OR DAMAGE: Risk or loss of, or damages to, the furnished equipment, or any other portion thereof, from any cause whatever shall pass to the Purchaser upon delivery of the equipment or any portion thereof, to the carrier F.O.B. point of shipment.  Seller shall not be responsible for loss or damage, including loss of damage in transit, when the risk lies with the Seller, unless the delivered equipment is checked against the bill of loading and Seller’s shipping list immediately upon arrival and any claims are promptly reported in writing ten (10) days of receipt of goods.

TERMS OF PAYMENT: The terms of payment are net thirty (30) days after each shipment.  Partial shipments may be made at Seller’s option and each such shipment is subject to immediate invoicing.  Ownership of goods delivered shall pass from the Vendor to the Purchaser when Vendor has received payment in full.  If payment is not made with fourteen (14) days of final notice in writing, the Vendor shall, without prejudice to any other remedies, be entitled to enter the premises where the goods are situated and re-take possession of the goods.  Until such time as payment in full has been received by the Vendor, the Purchaser shall be in fiduciary relationship with the Vendor and shall be a bailee only of the goods.

INSPECTION: Inspections and/or tests to be witnessed by Purchaser or its designated Representative(s) shall be specified at time of order placement.  If no inspections are specified, Seller may proceed with tests and/or shipment in accordance with Seller’s standard practices.  Seller does not assume costs for disassembly for inspection purposes should the Purchaser’s inspector not arrive within the specified testing time.

DRAWINGS AND PROCEDURES: The Purchaser shall promptly furnish Seller with all data that has been reviewed for full operating conditions, information, instructions, procedures, and drawings requisite to the execution to the order requirements.  Seller shall furnish Purchaser the outline drawings only for the products as necessary.  The above mentioned documents shall be furnished in accordance with the order requirements.  Where required, Purchaser shall promptly return one (1) set of those documents marked with his approval.

EXCHANGE: For imported products, quotation is based on the exchange rate ruling at the date tender, any variations will be to Purchaser’s account.

RETURN OF GOODS: Under no circumstances will indent or non-standard stock items be accepted back for credit.  Standard stock items will be accepted back for credit only if prior arrangements are made within seven (7) days of delivery and we reserve the right to impose a restocking fee.

VALIDITY: Quotations are open for acceptance for sixty (60) days, after which time they are subject to written confirmation, unless otherwise stated on our formal quotation.

MINIMUM QUANTITIES: Minimum selling quantities or selling values apply to some products and we shall not be bound to sell in lesser or broken lots.  We also reserve the right to apply a service surcharge for low value orders.

WARRANTY TERMS & CONDITIONS

Your EziTrak® is warranted for a period of 12 months against defects in material & workmanship EFFECTIVE FROM DATE OF PURCHASE. 

Please complete the warranty card to secure your Guarantee and kindly retain your Purchase receipt as proof of purchase, which must be presented if making a claim under the terms of the Rojone Guarantee. 

LIMITATION OF LIABILITY, DISCLAIMERS AND PRIVACY ISSUES 

ROJONE WARRANTS THAT IT HAS USED ITS BEST ENDEAVOURS TO MANUFACTURE A PRODUCT FOR THE PURPOSE FOR WHICH IT IS INTENDED USING ITS KNOWLEDGE, KNOW HOW, EXPERTISE AND SKILL. 

HOWEVER, ROJONE ACCEPTS NO RESPONSIBILITY WHATSOEVER FOR ANY ACTIONS ON THE PART OF THE PURCHASER OR USER WHICH MAY RENDER THE EQUIPMENT INOPERATIVE DUE TO ANY FAILURE ON THE PART OF THE PURCHASER OR USER TO COMPLY WITH THE “USER’S MANUAL” AND STRICTLY IN ACCORDANCE WITH THE DIRECTIONS AND GUIDELINES NOTED THEREIN. 

FURTHER, ROJONE ACCEPTS NO RESPONSIBILITY FOR ANY CONSEQUENTIAL EFFECTS OR BREACHES RESULTING FROM THE PURCHASER OR USER’S FAILURE TO USE THE EQUIPMENT FOR THE PURPOSE FOR WHICH IT IS INTENDED INCLUDING ANY BREACHES OF THE PRIVACY ACT, THE CRIMES ACT 1900, THE WORKPLACE SURVEILLANCE ACT 1998 (NSW), THE INDUSTRIAL RELATIONS ACT 1996 OR LEGISLATION, THE PASSENGER TRANSPORT (TAXI CAB SERVICES) ACT 1995, THE COMMON LAW AND ANY AND ALL LEGISLATION DEALING WITH PRIVACY AND SURVEILLANCE OF PERSONS INCLUDING EMPLOYEES. 

IN ADDITION, ROJONE DISCLOSES THAT THE IMPROPER USE OF THE EQUIPMENT MAY CONTRAVENE PARTS OF THE LEGISLATION REFERRED TO IN THE PREVIOUS PARAGRAPH.  ACCORDINGLY, ROJONE ACCEPTS ABSOLUTELY NO RESPONSIBILITY FOR USAGE WHICH MAY FALL OUTSIDE OF THE SCOPE OF THE PROPER INTENDED PURPOSE OF THE EQUIPMENT. 

ROJONE ALSO DISCLOSES THAT THE IMMOBILIZATION CAPACITY OF THE EQUIPMENT MAY RESULT IN DAMAGE, HARM AND OR PERSONAL INJURY TO THE DRIVER OF THE VEHICLE AND ITS PASSENGERS PARTICULARLY WHERE THE IMMOBILIZATION OCCURS AT A SIGNIFICANT SPEED.  ROJONE ACCEPTS NO LIABILITY OR RESPONSIBILITY FOR ANY RESULTING DAMAGE, HARM OR PERSONAL INJURY CAUSED OR SUSTAINED BY PERSONS IN SUCH CIRCUMSTANCES. 

PURCHASERS OF THE EQUIPMENT ARE CAUTIONED TO USE THE EQUIPMENT EXERCISING DILIGENCE AND CARE AT ALL TIMES.  ROJONE ACCEPTS NO RESPONSIBILITY FOR ANY FAILURE OF THE PURCHASER OR USER’S DUTY OF CARE RESULTING FROM ANY IMPROPER OR UNAUTHORISED OR WRONGFUL USE OF THE EQUIPMENT. 

Nothing in these terms shall exclude, restrict or modify any conditions, warranty or liability implied into this contact by statute WHERE to do so would be unlawful or would render any provision of this contract void.  Subject to that, all warranties implied by statute in respect of the goods are hereby expressly negated, and Rojone’s liability for the goods is limited to any warranties issued in writing by Rojone.  Rojone is excluded from any other liability whether under this contract or otherwise to the buyer or any third party for any loss, injury, cost or damage incurred or suffered by reason of the goods, their use, or their design.  Whether direct, indirect, special, consequential or otherwise and whether or not arising from a negligent act or omission of Rojone.  

Where it is legal to do so, any remaining liability implied by statute or resulting from breach of any term, condition, warranty implied or statute is limited to Rojone’s sole option. 

These options are as follows: 

(i)                 The replacement of the goods.

(ii)                The repair of goods.

(iii)               The payment of the cost of replacing the goods.

(iv)               The payment of the cost of having the goods repaired. 

The buyer should be aware that in relation to goods which are of a kind ordinarily acquired for personal use or consumption, certain statutory provisions such as the Trade Practice Act 1974 which are not excludable, may render Rojone liable to greater extent than provided in the clause.  These terms do not exclude rights and remedies implied by a statute, which are non-excludable.

Rojone reserves the right to make design changes to any Rojone product without incurring any obligation to make the same changes to previously purchased units.

TERMS and CONDITIONS   GPRS SERVICES AGREEMENT BETWEEN ROJONE Pty Ltd (the ‘Company’) AND the ‘Customer’ as identified on the Services Agreement. 

1.     Interpretation.  In the interpretation of the Terms:

”Agreement” means this GPRS Services Agreement; ‘Asset’ means any vehicle, motorbike, truck or other equipment on which the Products are installed; ‘Coverage Area’ means the GSM wireless coverage area as defined by the selected service provider from time to time; ‘Emergency Services” means the Police, Ambulance, Fire or other services provided by Third Parties in response to Company’s request; ‘Products’ includes the products and services supplied by the Company; ‘Third Party Equipment’ means any equipment supplied by a third party to be installed on the Asset and used in conjunction with the Products.

2.     Installation and Use of the Products

2.1  The Customer must use the Products strictly in accordance with the User Manuals and will ensure that all other persons operating the Products are familiar with the User Manuals and the operation of the Products.

2.2  Company approved installers will install the Products.  The Customer must not attempt or allow any third party to remove, modify or tamper with the Products without the Company’s prior written consent.  The Company will in no way be liable for any damage caused to the Customer’s Asset or surrounds in the course of installing the Products.  The Customer’s rights for such damage lie against the installer and the Customer indemnifies the Company.

2.3  The Customer must quote their security details to the relevant Company agent or representative when requested.  The Customer must not disclose their security details to any other person or record or leave the security details in such a place as to make the security details easily accessible to unauthorised persons.  Security details are to be completed on the form provided with the Products.

3      Risk

3.1  The Customer expressly acknowledges that due to circumstances beyond the control of the Company, including (but not limited to) software viruses, power failure, electrical or topographical interference, asset malfunction and the actions and omissions by suppliers of telephone and other communications services, Police or Emergency Services or security patrol services, the Services may not operate as designed.  The Customer also acknowledges that the Company is not responsible for damages to the Products, or failure to perform, as a result of any Asset accident or vandalism.

3.2  The Customer therefore understands & agrees that the Company will not be responsible for any performance, or failure, of the Services and/or Products, and any resulting loss or damage whether due to the circumstances envisaged in clause 4.1 or otherwise.

3.3  The Customer acknowledges that the Company is not responsible for malfunction or failure to function by the Third Party Equipment or any damages caused as a result of such failure or malfunction.

4.   Change of Ownership

4.1  The Customer must notify the Company where the Customer’s Asset has been assigned, sold or leased to a third party.  This Agreement will terminate following entry into a new Agreement by the third party or otherwise in accordance with Clause 7.

4.2  Where the Customer wishes to transfer the Products from one Asset to another, the Customer must notify the Company in writing and use an approved installer for the transfer.  A fee will be payable to the Company and/or the approved Installer for the transfer.

5      Termination

5.1  The Company may at any time by written notice, and the Customer by at least 7 days written notice, terminate this Agreement.  Where the Customer is in default or terminates this Agreement, no refund of fees will be payable.  Where the Company is in default, the Company will refund a pro-rata portion of the fee to the Customer.

6      Basis of Order

6.1  An order by the Customer will only be binding if it is issued on the GPRS Services Agreement, signed by the Customer.  Rojone EziTrak® retains at all times the right to accept or refuse an Order.

6.2  The Company will arrange delivery and installation of the Rojone EziTrak® products and any Third Party Equipment as soon as is practically possible following acceptance of the Order.  Rojone EziTrak® products are delivered on an ex-stock basis unless advised otherwise.

7.0  Prices and Payment

7.1  The prices payable for the Products and Third Party Equipment are as quoted and amended from time to time.  The validity of any quotation is ten (10) days unless otherwise specified in writing by the Company.

7.1  Where the Customer pays for the Products and any Third Party Equipment, installation thereof and any services by continuing credit card instalment payments, the Customer acknowledges that the Company is authorised to deduct all due payments on the dates on which they are to be paid.

7.2  Where a Customer makes any payments to the Company by way of credit card instalments, the customer must immediately notify the Company of the loss or theft of the particular credit card.

7.3  Where the Customer wishes to stop any credit card instalment payments to the Company, the Customer must notify the Company in writing.

7.4  Payment for all Products is due immediately unless otherwise notified in writing by the Company.

8      Warranty

8.1  The Company warrants that the Products supplied will be free from defects in materials and workmanship for a period of twelve (12) months from the date of installation.  Any such defects will be remedied by repair or replacement at the sole discretion of the Company.  This warranty shall only apply when the goods are used for their intended purpose as described in this Agreement.

8.2  If an authorised Rojone EziTrak® installer transfers the Rojone EziTrak® Products during the warranty period to another Asset nominated by the Customer, the warranty period will continue to run and the date of installation will be the date of installation on the first Asset nominated.

8.3  Where operation of the Products is dependent on third party telecommunications infrastructure, landline, or radio communications service, the Company shall not be responsible for system or product performance due to the unavailability of these services.

8.4  This warranty shall become null and void if:

8.4.1 The Customer fails to comply with the User Manual operating instructions and information;

8.4.2 The Products are modified, installed, or adjusted in any way by unauthorised personnel;

8.4.3 The Products are exposed to environmental conditions beyond their intended application;

8.4.4 The Products are affected by fire, water or flood, frost, ice, wind, fusion, immersion in any liquid, lightning, power surges, induced electrical surges including but not limited to Radio Frequency or Electromagnetic Interference, earthquake, elements of nature or an act of God, riot, civil disorder, vandalism, strikes or industrial strife, theft, accident, war, lockouts, road closure, or any similar cause beyond the reasonable control of the Company;

8.4.5 The Products are physically or operationally abused or damaged whether deliberately or by misuse;

8.4.6 The Products are affected by any system or Asset malfunctions caused by the abnormal operation, or by unspecified, undocumented, or unexpected operation of any third party computer hardware or system.

8.5  The liability of the Company arising out of expressed or implied conditions or warranties relating to the Goods and Services shall be limited as follows:

8.5.1 In the case of goods, to the repair of the goods or at the option of the Company, replacement or the supply of equivalent goods; or

8.5.2 In the case of services, to supplying of those services again;

8.5.3 In all cases, the amount of the Company’s liability shall not exceed the Price received from the Customer

8.6  This warranty does not apply to any Third Party Equipment forming part of the Order but Rojone EziTrak® will endeavour to preserve and pass onto the Customer any third party warranty applicable to Third Party Equipment.

8.7  By signing this agreement, the Customer acknowledges that they have read, understood and agree to be bound by these obligations.

Rojone actively seeks to improve it’s design, manufacturing, marketing and shipping techniques in order to make the best possible contribution to minimise the environmental impact of our business on our very important planet.

Our policy dictates that, wherever possible, we purchase raw materials from manufacturers who comply with general government policy in regard to CFS emissions, renewable resources and recycling.

Our manufacturing processes dictate that we comply with all Occupational Health and Safety standards at both the state and federal levels covered by regulations and relevant acts of parliament.  Outsourced manufacturing is only undertaken where suppliers can demonstrate (either by Australian Standards or by other International Standards) that they comply fully with regard to raw materials, production processes including such aspects as packaging and warehousing.

Rojone conducts regular training courses and seminars to all staff at all levels in the importance of maintaining our environmental policy both in house and in dealing with suppliers to ensure that our products meet the strictest standards of other government policies.  Particular emphasis is placed on hazardous materials, waste management and recycling of packaging and other production process materials.
